These Terms of Service ("Terms") govern your use of skadius.com (the "Site") and purchases made from Skadius. The Site and the Skadius brand are operated by Velidey LLC, a Wyoming limited liability company ("Skadius," "we," "us," or "our"). By using the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site or place an order.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a contract to purchase or use a Skadius product. Skadius products are intended for adult use only.

2. Products, pricing, and availability

We work to keep product descriptions, specifications, availability, and prices accurate. Product colors and appearance may vary slightly because of screen settings and normal manufacturing variation.

Prices are shown in U.S. dollars. Applicable taxes and any other charges will be displayed at checkout. We may correct genuine pricing, description, or availability errors. If an error affects an order, we will contact you and offer the option to proceed with the corrected information or cancel for a full refund.

Products may be unavailable or offered in limited quantities. We do not guarantee that a product will remain available.

3. Orders and payment

Submitting an order is an offer to purchase. An order-confirmation email acknowledges that we received your order but does not necessarily mean that it has been accepted. We may refuse or cancel an order before shipment because of product unavailability, a pricing or listing error, a payment problem, suspected fraud, an invalid shipping address, or another legitimate reason. If we cancel an order after payment has been collected, we will issue a full refund to the original payment method.

Checkout is provided through Shopify, and payments are handled by the third-party payment providers made available at checkout. We do not directly receive or store your complete payment-card number. Your use of Shopify checkout or a payment method may also be subject to the applicable provider's terms and privacy notice.

4. Shipping, returns, and warranty

Our Shipping Policy explains where we ship, expected processing and delivery times, and how delivery issues are handled.

Our Returns & One-Year Limited Warranty Policy explains the 30-day home trial, returns, refunds, delivery problems, and warranty coverage. Those policies form part of these Terms. If a topic-specific policy conflicts with these Terms, the topic-specific policy controls for that topic.

5. Safety and assumption of risk

Cold-water immersion places significant stress on the body and involves inherent risks, including cold shock, involuntary gasping or rapid breathing, changes in heart rate and blood pressure, loss of coordination, fainting, hypothermia, drowning, serious injury, and death.

Before using a Skadius product:

• Consult a qualified healthcare professional, particularly if you have a cardiovascular or respiratory condition, high or low blood pressure, diabetes, circulation problems, are pregnant, take medication that may affect your response to cold, or have another medical condition.

• Do not use the product while under the influence of alcohol, drugs, or medication that impairs alertness or coordination.

• Do not use the product alone. Have a capable adult nearby who can assist in an emergency.

• Enter and exit slowly. Never jump or dive, deliberately hyperventilate, hold your breath underwater, or submerge your head or face.

• Exit immediately if you experience chest pain, severe shortness of breath, confusion, dizziness, numbness, loss of coordination, or feel faint or unwell.

• Keep children and pets away at all times. The lid is not a child-resistant safety cover and must not be relied upon to prevent access or drowning.

• Install, inspect, maintain, and use the product only as described in the instructions, on a stable and suitable surface, and do not use it if damaged or leaking.

• Use chillers, pumps, and other electrical equipment near water only in accordance with their manufacturers' instructions and applicable electrical and safety requirements.

You are responsible for deciding whether cold-water immersion is appropriate for you and for following all instructions and warnings. To the maximum extent permitted by law, Skadius is not responsible for injury, illness, or damage caused by misuse, an unsafe installation, failure to follow instructions or warnings, or use against medical advice. Nothing in this section limits liability that cannot lawfully be excluded, including liability arising from a defective product where applicable law provides otherwise.

6. No medical advice

Content on the Site, including information about cold exposure research or potential benefits, is provided for general educational purposes only. It is not medical advice, diagnosis, or treatment and is not a substitute for advice from a qualified healthcare professional. Results vary, and we do not guarantee any particular health or performance outcome.

7. Intellectual property

The Site and its content, including text, photography, graphics, product names, logos, and the Skadius name and wordmark, are owned by Velidey LLC or its licensors and are protected by intellectual-property laws. You may use the Site for personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, or commercially exploit Site content without our prior written permission.

8. Acceptable use

You may not use the Site unlawfully; interfere with its operation or security; introduce malicious code; attempt unauthorized access; scrape or harvest data through automated means without permission; impersonate another person; or use the Site to commit fraud.

9. Privacy and third-party services

Our Privacy Policy explains how we collect, use, and disclose personal information.

The Site may rely on or link to services operated by third parties, including ecommerce, payment, analytics, advertising, and delivery providers. Their own terms and privacy notices may apply. We are not responsible for third-party websites or services that we do not control.

10. Site disclaimer

To the maximum extent permitted by law, the Site is provided "as is" and "as available." We work to keep it accurate and available but do not guarantee that it will always be uninterrupted, secure, or error-free. This Site disclaimer does not replace or reduce the product rights described in our Returns & One-Year Limited Warranty Policy or rights that cannot be waived under applicable law.

11. Limitation of liability

To the maximum extent permitted by law, Velidey LLC will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from the Site or the purchase or use of a product.

For claims involving direct economic loss, our aggregate liability will not exceed the amount paid for the product or order giving rise to the claim. This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability for fraud, willful misconduct, gross negligence, or personal injury or death where applicable law does not permit such a limitation. Some states do not allow certain exclusions or limitations, so part of this section may not apply to you.

12. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Nothing in these Terms deprives you of mandatory consumer protections that apply under the law of your state of residence.

If you have a problem, please contact support@skadius.com first so we can try to resolve it directly. Any legal claim must be brought in a court with lawful jurisdiction over the dispute.

13. Changes to these Terms

We may update these Terms from time to time. Updated Terms apply to use of the Site from the effective date shown above. Unless required by law or expressly agreed otherwise, an update will not retroactively change the terms applicable to an order already accepted by us.

14. General terms

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. A delay in enforcing a provision is not a waiver of that provision. These Terms, the policies incorporated into them, the product information presented at the time of purchase, and your accepted order constitute the agreement between you and us regarding the Site and your purchase. We may assign these Terms as part of a merger, reorganization, financing, or sale of all or part of the Skadius business.
